As of February 1, 2025, new financial thresholds determining when a merger must be reported to Mexico’s antitrust authorities have come into effect. These thresholds have been adjusted by 4.21% based on the update of the Unit of Measurement and Update (UMA).

When Must a Merger Be Notified?

The following transactions must be reported to the Federal Economic Competition Commission (COFECE) or the Federal Telecommunications Institute (IFT):

• • Transaction Value: If the transaction in Mexico exceeds MXN $2,036,520,000 (~USD $100.3M).
  • Equity Participation: If acquiring 35% or more of a company whose assets or revenues in Mexico exceed MXN $2,036,520,000 (~USD $100.3M).
  • Size of the Companies Involved: If the acquired company has assets exceeding MXN $950,376,000 (~USD $46.8M), and the combined parties involved in the transaction generate revenues or hold assets in Mexico over MXN $5,430,720,000 (~USD $267.4M).

Notification Fee in 2025

Since January 1, 2025, the filing fee for merger notifications is MXN $247,820 (~USD $12,200), reflecting a 4.5% increase from the previous year.

What About the Organizational Simplification Reform?

The constitutional reform published on December 20, 2024, proposes the elimination of COFECE and IFT. However, no exact timeline has been set for their dissolution. Until further notice, both agencies remain operational, and transactions exceeding these thresholds must continue to be reported.
